Bizora Integration API Terms of Service

These Bizora Integration API Terms of Service ("Terms") govern access to and use of Bizora Integration API endpoints, MCP server access, API documentation, developer materials, and related services provided by Bizora Inc. ("Bizora," "we," "us," or "our") for authorized business customers (collectively, the "Bizora Integration API" or "Services").
The Bizora Integration API provides authorized business customers with API access to AI-powered tax research tools, including chat completions and MCP server access. These Terms apply only to the Bizora Integration API. They do not govern Bizora's separate administrative interfaces, internal systems, or consumer-facing services unless those services expressly link to these Terms.
By accessing or using the Bizora Integration API, you agree to these Terms on behalf of yourself and, if applicable, the company or other legal entity you represent. If you do not agree to these Terms, you may not access or use the Bizora Integration API.
1. Eligibility and Authority
The Bizora Integration API is intended for business use by customers and users who are at least 18 years old. If you use the Bizora Integration API on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Bizora Integration API Access
Access to the Bizora Integration API is limited to customers and users authorized by Bizora. API keys, tokens, credentials, endpoint access, and related authentication materials are confidential. You may not share, sell, sublicense, publish, or otherwise make them available to any third party except as expressly permitted by Bizora in writing.
You are responsible for all activity under your API credentials. You must promptly notify Bizora if you suspect unauthorized access, credential compromise, or misuse of the Bizora Integration API.
Bizora may apply authentication controls, usage limits, rate limits, monitoring, abuse prevention, and other security controls to protect the Bizora Integration API and its customers.
3. Order Forms, Fees, and Payment
API access, usage limits, rate limits, fees, payment terms, support levels, and service-specific commitments may be set out in an applicable order form, invoice, statement of work, written agreement, or other written ordering document between you and Bizora ("Order Form").
If an Order Form conflicts with these Terms, the Order Form controls for the conflicting subject matter. Unless an Order Form says otherwise, purchases are non-refundable, payments are due in U.S. dollars, and you are responsible for applicable taxes.
4. Permitted Use
Subject to your compliance with these Terms and any applicable Order Form, Bizora grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Bizora Integration API solely for your internal business purposes.
You are responsible for your applications, integrations, prompts, requests, inputs, outputs, and use of the Bizora Integration API. You must use the Bizora Integration API in accordance with all applicable laws, regulations, professional obligations, and third-party rights.
5. API Inputs, Outputs, and AI-Assisted Tax Research
The Bizora Integration API may generate AI-assisted tax research, summaries, citations, source references, or other outputs ("Outputs") based on prompts, requests, documents, or other content you submit ("Inputs").
Outputs are provided for informational and research-support purposes only. Outputs are not legal, tax, accounting, financial, or other professional advice. You are responsible for independently reviewing Outputs, verifying cited sources, confirming current law and authority, and determining whether any Output is appropriate for your use case.
Bizora does not guarantee that Outputs will be complete, current, accurate, or error-free. You should not rely on Outputs as a substitute for review by qualified professionals.
6. Customer Content, Training, and Retention
As between you and Bizora, you retain ownership of your Inputs. Bizora does not claim ownership of your Inputs or Outputs.
Bizora does not use customer prompts, API request content, Outputs, or conversation threads submitted through the Bizora Integration API to train models unless expressly agreed in writing.
API request content is processed transiently to provide the requested response. Bizora follows a zero data retention principle for customer question-and-answer content submitted through the Bizora Integration API: customer questions, prompts, answers, and conversation threads are not stored as retained content. Bizora may retain limited operational metadata, such as input token size, output token size, time taken to complete a response, timestamps, status codes, usage counts, and similar performance or billing metadata, for security, reliability, billing, legal compliance, analytics, and service improvement.
Where Bizora uses third-party large language model providers to process Bizora Integration API requests, Bizora uses providers or model configurations that support zero data retention for submitted prompts and outputs.
7. Security and Enterprise Controls
Bizora designs the Bizora Integration API with security controls appropriate for enterprise API usage. These controls may include API key authentication, request validation, rate limiting, abuse monitoring, logging controls, access restrictions, infrastructure security controls, and vendor/subprocessor safeguards.
You must implement reasonable security measures for your own systems and integrations, including protecting API credentials, restricting credential access to authorized personnel, rotating credentials when appropriate, and preventing unauthorized use of the Bizora Integration API.
You may not bypass, disable, probe, overload, degrade, or interfere with Bizora security controls, authentication systems, usage limits, rate limits, monitoring, or infrastructure.
8. Prohibited Activities
You may not use the Bizora Integration API to:
- violate any applicable law, regulation, professional obligation, contract, or third-party right;
- submit unlawful, infringing, harmful, deceptive, or unauthorized content;
- develop, train, benchmark for competitive replication, or improve a competing AI model, product, or service without Bizora's prior written permission;
- reverse engineer, decompile, disassemble, scrape, crawl, or attempt to derive non-public aspects of the Bizora Integration API, except to the extent such restriction is prohibited by law;
- bypass API rate limits, authentication, usage limits, security controls, or access restrictions;
- interfere with or disrupt the Bizora Integration API, Bizora systems, or systems used by other customers;
- share, publish, sell, lease, sublicense, or otherwise make API credentials available to unauthorized parties;
- use the Bizora Integration API to send malware, spam, or abusive traffic;
- misrepresent the source, reliability, or professional status of any Output; or
- use Outputs in a way that creates a legal, tax, accounting, financial, or professional advice relationship between Bizora and any third party.
9. Intellectual Property
Bizora and its licensors own all rights, title, and interest in the Bizora Integration API, documentation, software, systems, models, prompts, workflows, tax research tools, content, trademarks, service marks,
and related materials made available by Bizora, except for your Inputs and any rights expressly granted to you in these Terms or an Order Form.
No rights are granted by implication. You may not copy, modify, distribute, resell, sublicense, or create derivative works from the Bizora Integration API or Bizora materials except as expressly permitted by these Terms or an applicable Order Form.
10. Feedback
If you provide suggestions, comments, ideas, or other feedback about the Bizora Integration API, Bizora may use that feedback without restriction or compensation to you. Feedback does not include your confidential customer Inputs submitted for processing through the Bizora Integration API.
11. Third-Party Services, Models, and Content
The Bizora Integration API may use or reference third-party services, infrastructure, subprocessors, large language model providers, source materials, websites, citations, or other third-party content. Bizora may disclose or make available information to service providers and subprocessors under written agreements that limit their use of the information to providing services to Bizora and require appropriate confidentiality, security, and data protection commitments.
Third-party websites, citations, and source materials are provided for research support and convenience. Bizora does not control third-party websites or guarantee that third-party content is complete, current, or error-free. You are responsible for reviewing applicable third-party terms and policies where relevant.
12. Privacy
Bizora's handling of personal information and Bizora Integration API data is described in the applicable Bizora Integration API Privacy Policy. By using the Bizora Integration API, you acknowledge that Bizora may process information as described in that policy and in any applicable written agreement between you and Bizora.
The Bizora Integration API is hosted and operated from the United States. If you access the Bizora Integration API from outside the United States, you are responsible for ensuring that your use complies with laws applicable to you.
13. Service Management
Bizora may monitor usage of the Bizora Integration API for security, reliability, abuse prevention, billing, analytics, and compliance with these Terms. Bizora may suspend, limit, or terminate access to the Bizora Integration API if Bizora reasonably believes that use of the Bizora Integration API violates these Terms, creates security or legal risk, may harm Bizora or other customers, or exceeds applicable usage limits.
Bizora may modify, update, suspend, or discontinue all or part of the Bizora Integration API. Bizora will use commercially reasonable efforts to provide notice of material changes when required by an applicable Order Form or by law.
14. Term and Termination
These Terms remain in effect while you use the Bizora Integration API. Bizora may terminate or suspend your access if you breach these Terms, fail to pay amounts due, create security or legal risk, or use the Bizora Integration API in a manner not authorized by Bizora.
Upon termination, your right to access and use the Bizora Integration API ends immediately. Sections that by their nature should survive termination will survive, including provisions relating to fees owed, intellectual property, customer content, disclaimers, limitations of liability, indemnification, governing law and venue, and miscellaneous terms.
15. Disclaimers
THE BIZORA INTEGRATION API AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, BIZORA DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED,
STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND ERROR-FREE OPERATION.
BIZORA DOES NOT WARRANT THAT THE BIZORA INTEGRATION API OR OUTPUTS WILL BE
UNINTERRUPTED, SECURE, CURRENT, COMPLETE, OR FREE FROM ERRORS, OMISSIONS, OR HARMFUL COMPONENTS.
16. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, BIZORA AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, BIZORA'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE BIZORA INTEGRATION API WILL NOT EXCEED THE AMOUNT PAID BY YOU TO BIZORA FOR THE BIZORA INTEGRATION API GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain warranty exclusions or liability limitations, so some of the above limitations may not apply to you.
17. Indemnification
You will defend, indemnify, and hold harmless Bizora and its directors, officers, employees, agents, affiliates, suppliers, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Bizora Integration API, your Inputs, your Outputs as used by you, your applications or integrations, your violation of these Terms, your violation of law, or your infringement or misappropriation of third-party rights.
Bizora may assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with Bizora's defense of such claims.
18. Electronic Communications
You consent to receive notices, disclosures, agreements, and other communications electronically, including by email or through the Bizora Integration API, documentation, or other Bizora systems. Electronic communications satisfy any legal requirement that communications be in writing.
19. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Any dispute will be brought in the state or federal courts located in Orange County, California, and you consent to their jurisdiction and venue.
20. Changes to These Terms
Bizora may update these Terms from time to time. When Bizora makes material changes, Bizora will use commercially reasonable efforts to provide notice, such as by updating the effective date, posting the updated Terms, emailing an account contact, or using another reasonable notice method.
Your continued use of the Bizora Integration API after updated Terms become effective means you accept the updated Terms.
21. Miscellaneous
These Terms, together with any applicable Order Form and incorporated policies, are the entire agreement between you and Bizora regarding the Bizora Integration API and supersede prior or contemporaneous understandings about the Bizora Integration API.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Bizora's failure to enforce a provision is not a waiver. You may not assign these Terms without Bizora's prior written consent. Bizora may assign these Terms in connection with a merger, acquisition,
corporate reorganization, or sale of assets. There is no partnership, joint venture, employment, fiduciary, or agency relationship between you and Bizora as a result of these Terms.
